Terms of Service

These are the terms you agree to by using Yardstick. They are written plainly on purpose.

1. What Yardstick is

Yardstick is software that helps deck and fence contractors measure a job, apply their own pricing, and produce an estimate. It is a tool. It does not price your work, guarantee your margins, or make decisions for you.

"We" and "us" mean Yardstick USA, Inc. "You" means the person or business using the service.

2. Your account

You need an account, and you are responsible for what happens under it. Keep your password to yourself, and tell us at support@yardstickusa.com if you think someone else has it.

You must be eighteen or older and able to enter a contract.

One account is for one business. If you need more people using it, add seats rather than sharing a login. Sharing a login makes the audit log meaningless and we cannot help you work out who did what.

3. Trial and payment

The trial runs seven days. We collect a card when you sign up and charge nothing during the trial.

After the trial, the subscription is $40 per month per user, or $400 per year per user if you chose the yearly term, unless you agreed a different rate in writing. It renews on that same term until you cancel.

Cancel any time. You keep access until the end of the period you paid for. We do not refund partial months or partial years.

If a payment fails, Stripe retries it and emails you. Nothing about your account changes while that is happening. If payments stop entirely, your account locks: your existing work stays readable and exportable, but you cannot create new jobs or send new estimates until the subscription is current.

We never delete your work because a card failed.

Prices can change. We will give you at least thirty days notice by email before any increase, and you can cancel before it takes effect.

4. Your data is yours

Everything you put into Yardstick belongs to you: your rate book, your jobs, your customers, your photographs, your estimates.

We claim no ownership. We do not use your pricing to build products, benchmark other contractors, or train models. We do not sell it.

We hold a licence to store and display your content only to the extent needed to run the service for you. Nothing more.

You can export your data at any time using the Backup control in the app, and you do not need our permission or cooperation to do it.

5. Your responsibilities as a contractor

The numbers are yours. Yardstick multiplies what you tell it. If you enter the wrong rate, you get the wrong estimate. Rates you have not set are marked as not set, and any estimate using one is marked not final. Check your numbers.

The measurements are yours. The sketch pad records what you tap. It does not verify your tape.

Your customers' information is yours to handle lawfully. When you enter a homeowner's name and address, or photograph their property, you are responsible for having the right to do so and for telling them what you do with it. If a homeowner asks us about their information, we will point them to you.

Your estimates are your contracts, not ours. What you agree with a homeowner is between the two of you. We are not a party to it.

6. What you may not do

Security researchers are welcome. Write to support@yardstickusa.com first and we will work with you.

7. Availability

We aim to keep Yardstick running and we do not promise perfection. It may be unavailable during maintenance, or because of a provider outage outside our control.

The app is built to work without signal. Your work saves on your device and syncs when a connection returns, so an outage does not stop you quoting a job.

We are not liable for business you lose during an outage.

8. Ending it

You can cancel any time from your account settings.

We can end an account for a serious breach of these terms, with notice and a chance to fix it unless the breach makes that unreasonable.

Either way, your data stays available for ninety days so you can export it. After that we delete it.

9. No warranty

Yardstick is provided as is. We do not warrant that it will be uninterrupted, error free, or fit for a particular purpose, and we make no promise about the commercial outcomes of estimates you produce with it.

10. Limit of liability

To the extent the law allows, our total liability to you for any claim is limited to what you paid us in the twelve months before the claim.

We are not liable for lost profits, lost business, or indirect damages.

This limit does not apply to our own fraud, our gross negligence, or anything the law does not permit us to limit.

11. Indemnity

If someone brings a claim against us because of how you used Yardstick, including how you handled a customer's information or what you agreed with them, you will cover our reasonable costs in defending it.

12. Changes to these terms

If we change these terms materially, we will email you at least thirty days before the change takes effect. Continuing to use Yardstick after that means you accept the new terms. If you do not, cancel before they take effect and we will refund the unused part of your current period.

13. Law and disputes

Delaware law governs these terms.

If something goes wrong, write to support@yardstickusa.com first. Most problems are solved that way.

If we cannot resolve it, disputes are settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, seated in Los Angeles, California, before a single arbitrator. Either of us may still bring a claim in small claims court, and either of us may seek an injunction to protect intellectual property or confidential information.

Neither of us will bring a class action.

14. General

These terms and the privacy policy are the whole agreement between us.

If any part is found unenforceable, the rest stands.

We may transfer these terms to a buyer of the business. Your rights do not change if we do.

Not enforcing something once does not waive it.
